(United States)<\/p><p><b>1. Policy Statement<\/b><\/p><p>Digify enforces a zero-tolerance approach to bribery and corruption. We are committed to conducting business honestly, transparently, and in full compliance with all applicable anti-corruption laws, including:<\/p><ul><li><p><i>Singapore\u2019s Prevention of Corruption Act<\/i><\/p><\/li><li><p><i>U.S. Foreign Corrupt Practices Act (FCPA)<\/i><\/p><\/li><li><p><i>UK Bribery Act 2010<\/i><\/p><\/li><li><p><i>Australia\u2019s Criminal Code Act 1995 (Cth)<\/i><\/p><\/li><li><p><i>Relevant EU anti-corruption and corporate responsibility regulations<\/i><\/p><\/li><\/ul><p><b>This policy applies globally to all employees, directors, officers, contractors, consultants, agents, and third-party representatives acting on behalf of Digify. Any violation may result in disciplinary action, including termination, and may trigger criminal liability for the individual.<\/b><\/p><p><b>2. Prohibited Conduct<\/b><\/p><p>You must not:<\/p><ul><li><p>Offer, promise, give, solicit, or accept bribes, kickbacks, or facilitation payments<\/p><\/li><li><p>Attempt to improperly influence business decisions or government actions<\/p><\/li><li><p>Provide or accept gifts, favors, hospitality, or services intended to secure an advantage<\/p><\/li><li><p>Use your position at Digify for personal benefit or outside interests<\/p><\/li><li><p>Engage a third party to do anything prohibited by this policy<\/p><\/li><\/ul><p><b>3. Conflict of Interest<\/b><\/p><p>All employees must avoid situations where personal interests interfere\u2014or appear to interfere\u2014with Digify\u2019s business decisions.<\/p><p>You must:<\/p><ul><li><p>Not engage in external work that conflicts with your role without prior written approval from the CEO<\/p><\/li><li><p>Not use your position, access, or influence at Digify for personal gain<\/p><\/li><li><p>Disclose in writing any personal or family relationships that may affect hiring, vendor selection, or other business matters<\/p><\/li><li><p>Disclose and seek written approval for any potential conflict of interest<\/p><\/li><\/ul><p><b>4. Gifts, Gratuities, and Hospitality<\/b><\/p><p>Gifts and hospitality may only be offered or accepted if they are:<\/p><ul><li><p>Infrequent, modest in value, and aligned with business norms<\/p><\/li><li><p>Not intended to influence a decision or create a sense of obligation<\/p><\/li><li><p>Compliant with applicable laws and Digify\u2019s internal policies<\/p><\/li><\/ul><div><p>\u2714 Permitted (with disclosure):<\/p><ul><li><p>Promotional items or small tokens (e.g., under SGD 30 \/ USD 20)<\/p><\/li><li><p>Reasonable meals during business meetings<\/p><\/li><li><p>Speaking engagement gifts (if appropriate and pre-approved)<\/p><\/li><\/ul><div><p>\u2716 Strictly Prohibited:<\/p><ul><li><p>Cash, cash equivalents (e.g., gift cards)<\/p><\/li><li><p>Luxury items, personal favors, or offers linked to decision-making<\/p><\/li><li><p>Paid travel, accommodations, or entertainment unless pre-approved in writing by the CEO<\/p><\/li><\/ul><\/div><\/div><p>Only the CEO may authorize corporate gifts or gestures for external relations. If you are unsure whether a gift or offer is appropriate, consult HR or your manager before taking action.<\/p><p><b>5. High-Risk Scenarios<\/b><\/p><p>Be especially cautious and seek approval when dealing with:<\/p><ul><li><p>Government officials or regulators<\/p><\/li><li><p>Procurement, contracting, or tendering processes<\/p><\/li><li><p>Third-party agents or resellers in high-risk jurisdictions<\/p><\/li><li><p>Consultants or intermediaries where scope or deliverables are unclear<\/p><\/li><\/ul><p>You must never offer anything of value to influence official decisions or gain unfair access to contracts.<\/p><p><b>6. Third Parties and Due Diligence<\/b><\/p><p>While Digify engages primarily with low-risk partners, any third party acting on our behalf must:<\/p><ul><li><p>Be vetted for legitimate business purposes<\/p><\/li><li><p>Understand and comply with this policy<\/p><\/li><li><p>Refrain from any form of bribery, corruption, or unethical practice<\/p><\/li><\/ul><p>Due diligence will be applied where warranted, and Digify reserves the right to include anti-bribery clauses in contracts.<\/p><p><b>7. Record-Keeping<\/b><\/p><p>All transactions, payments, and gifts must be:<\/p><ul><li><p>Accurately recorded in Digify\u2019s systems<\/p><\/li><li><p>Fully supported by documentation<\/p><\/li><li><p>Auditable, and never misleading or off-the-books<\/p><\/li><\/ul><p>Falsifying records or concealing benefits is grounds for immediate dismissal and legal referral.<\/p><p><b>8. Reporting Obligations<\/b><\/p><p>All employees and contractors have a mandatory obligation to report suspected or known:<\/p><ul><li><p>Bribery or corruption<\/p><\/li><li><p>Conflicts of interest<\/p><\/li><li><p>Gifts or offers that may breach this policy<\/p><\/li><\/ul><p>Reports can be made to HR, a manager, or via designated whistleblower channels (email to compliance@digify.com). Reports made in good faith will be treated confidentially, and Digify strictly prohibits retaliation.<\/p><div><p><b>9. Enforcement and Individual Liability<\/b><\/p><p>Violations of this policy may lead to:<\/p><ul><li><p>Disciplinary action, including termination<\/p><\/li><li><p>Termination of supplier or contractor relationships<\/p><\/li><li><p>Criminal prosecution under applicable laws<\/p><\/li><\/ul><p>Individuals may be personally liable under laws such as the FCPA and UK Bribery Act, even if acting under perceived instruction or company pressure.<\/p><\/div><div><p><b>10. Training and Awareness<\/b><\/p><ul><li><p>This policy is distributed to all new hires during onboarding<\/p><\/li><li><p>Refresher guidance is provided as needed, particularly for roles involving procurement, partnerships, or external relations<\/p><\/li><li><p>Managers are expected to reinforce this policy and address potential risks within their teams<\/p><\/li><\/ul><\/div><p><b>11. Policy Review and Oversight<\/b><\/p><div><p>This statement was approved by the senior leadership of<b>\u00a0Digify Pte Ltd\u00a0<\/b>and\u00a0<b>Digify Inc.\u00a0<\/b>on 30 December 2024.
